AstraZeneca said the move to close its Celebrex business in May is "not a step in the right direction" because it's a "pioneering company that's building a strong, strong future for Pfizer's medicines business."
AstraZeneca announced the opening of an exclusive joint venture with Eli Lilly & Co., which has about 40 percent of the market for the drug.
The deal, announced Monday by the company, will create a joint venture that will combine the two companies' research and development businesses.
"We are a significant investment in the future of Pfizer's medicines business and this joint venture is a real step in the right direction," said Michael Pearson, president and chief executive officer of AstraZeneca.
"This joint venture is an investment in the company's core technology and the combination of that will enable it to build a strong, strong future for the company, which will be able to continue to produce its innovative medicines for more than one year," Pearson added.
Celebrex, which is expected to be sold to a number of other pharmaceutical companies through a combination of licensing deals and acquisitions, is one of the company's most-researched drugs.
The company has been involved in a number of clinical trials of Celebrex since it was launched in February 2006.
"Celebrex is a leading, strong competitor to many other medications, including Pfizer's Vioxx," said Michael Pearson.
Celebrex's development was led by Dr. Adriane Abbott, president of Abbott Laboratories, who said in a statement Monday that the joint venture would be "a transformative step forward" for Pfizer's pharmaceutical business.
"Pfizer is an early and important leader in the world of pharmaceuticals and we are confident that it is the next step in this important global journey to bring Pfizer's medicines to life. We look forward to the future in this important partnership."
The deal will have two co- executed synergies: a joint venture with Abbott Laboratories and a co- executed combination of the two companies' research and development businesses.
Celebrex is the latest in a string of acquisitions for Pfizer, including several that have been made possible through acquisitions, including the launch of Celebrex in June.
The deal was announced Monday by the company's chief executive, Dr. David Shrankman, and also the company's chairman, Dr. Andrew W. Wilens, who will retire from the company in June.

Celebrex, which was the world's No. 1 selling drug on the market in 1999, was approved for marketing in the United States in February 2005, and it has been available on the New York Stock Exchange since.
